Terms and Conditions

This agreement dated the 29th of October 2021 is between New Ithaca LLC, the seller, and the buyer of its product(s). This agreement is agreed upon by the buyer if they purchase from the NewIthaca.com website.

A. The individual purchasing New Ithaca LLC's products will be referred to as the "buyer".

B. The company New Ithaca LLC is the seller and at times the creator of the final produced product(s). Which is and are the final and complete recordings of New Ithaca LLC or its potentially contracted producing partners.

C. The buyer is agreeing to these Terms and Conditions in order to purchase said products from New Ithaca LLC.

D. The company will sell the product(s) under the following terms and conditions.

To fully purchase and own the produced product(s), as well as all rights to produced product(s), as well as all rights to profits, the buyer must agree to the following terms. 

Terms: 

Upon purchase of New Ithaca LLC's products, the following must be adhered to.

1. New Ithaca LLC's tag (the small prerecorded introduction) may not under any circumstances be removed. Should it be removed, it will be considered a violation of the terms and conditions agreement.

2. The fully mastered beat must remain in its complete form. All stems are considered the legal property of New Ithaca LLC, though we will alter any reused samples as to not sell the same sound twice. This means that any breaking down of the final product in order to use said stems is prohibited, and a violation of the terms and conditions agreement.

3. The recording in its entirety may be sampled, however the New Ithaca LLC tag must be integrated, clearly audible, and recognizable in this sample at least once.

4. New Ithaca is not selling the copyright to these works, copyrighting is the obligation of the buyer and must be done to avoid theft. This will not be the case after an unspecified time, however New Ithaca will update the terms and conditions when the copyright is being sold along with the beats in the near future.

Return policy:

1. New Ithaca LLC does not under any circumstances provide refunds. Nor do we accept returns for credit.

2. The buyer may sell the beat back to New Ithaca LLC for 25% of its original cost.

New Ithaca LLC's obligations:

1. New Ithaca LLC will remove all demos of purchased products from Sound Cloud. New Ithaca LLC will have up to 30 days to do so from the day of purchase.

2. New Ithaca LLC guarantees that it will not resell the sold product, and that it will only exclusively sell this product once.

3. New Ithaca will not use any sold product(s) for any purpose, including but not limited to.

A. Advertisement purposes

B. Recording songs

C. creating animated shows, or any other form of film, or any other visual media.

Quality Assurance:

1. Should any file provided by New Ithaca LLC be corrupted or incomplete in any way. New Ithaca LLC will provide a replacement copy.

2. New Ithaca LLC is not selling the demo recording, which may be of a lesser quality than the final mastered product or exactly the same as the final product. 

3. New Ithaca LLC. is selling a final product, and custom requests will result in a new product, the terms of which will be stated below.

Custom products:

1.Should a buyer wish to have a custom product made for them, using any stems the company has at its disposal. The flat fee will be 1,000$, as you will have three edits allowed per beat, if beat still isnt up to your standards New Ithaca LLC will try with a new set of sounds unless you decide to forgo the purchase all together. Either way this service will only extend to the second attempt, afterwards the deal will either have to be final, or terminated.

2. A personal demo of approximately 35 seconds will be sent via e-mail to the buyer of the custom recording.

3. At this point the buyer may decline the recording without any additional fees or costs.

4. Should the custom recording be declined, New Ithaca LLC reserves the right to sell the final product on its web site.

5. Should the custom recording be accepted, it will be subject to the terms and conditions of this document.

Alterations to terms and conditions:

Any past buyers will be obligated to follow the terms and conditions set forth in their original purchase. This means that past buyers will not be subject to new terms until they purchase more products from New Ithaca LLC. All products are subject to the terms and conditions set forth from the day of purchase.

Any violation in the terms and conditions will result in the following:

1. Any violation of the terms and conditions provided above may result in a civil suit against the buyer.

2. This will be enforced only if the terms and conditions are violated and the media created using New Ithaca LLC's product is making a profit.

If all terms and conditions are honored and met:

1. All profits derived from the media created using a New Ithaca LLC product(s) will remain with the buyer.

2. New Ithaca LLC will fully honor and adhere to its obligations.

3. No action will be taken by New Ithaca LLC to hinder, or impede in the creation of any form of media using New Ithaca LLC's product(s), New Ithaca LLC will also have no claim to royalties or profits derived from such creations in any way shape or form.

New Ithaca LLC protections:

1. New Ithaca LLC is selling a product that may be used in any form the client chooses. Should these medias result in lawsuits caused by the buyer's actions, New Ithaca should not be included in the legal proceedings in any way. The only exception to this rule is if the terms and conditions were violated. In which case New Ithaca LLC will file a civil lawsuit, even if the other criminal/civil lawsuit proceeding are still in process.
